Registration of a Private Limited Company in Singapore

Singapore is well-recognized as a global business hub and is an excellent choice for aspiring entrepreneurs to start their business ventures. The Private Limited Company (“Pte Ltd Company”) is the most common form of business entity in Singapore.

  1. The popularity of a Private Limited Company is primarily due to the following key characteristics of a Company: It has its own legal identity, which means that it has the right to own assets, including properties and it can sue and be sued in its own name.
  2. The directors and shareholders of the Company have limited liabilities from any debts, losses or contingent liabilities of the Company.
  3. A business operating under a Company is generally viewed by the public to convey more trust and credibility, compared to other forms of business entities.

Important Note to Remember: Please note that every Singapore Company requires at least ONE director who is ordinarily a resident in Singapore. A resident director is an individual who is a Singapore Citizen, Singapore Permanent Resident or an Eligible Employment Pass Holder who is residing in Singapore with a valid Singapore address.

If you intent to set up a Singapore Company and has no resident director, your options are :

  1. To find a Singapore contact (family member or friend) who is willing to assume the role as the resident director of the Company
  2. Engage a nominee director to act as the resident director of the Company. ContactOne offers nominee director services to qualifying companies that satisfy our “Know Your Client” assessment. You may wish to find out more about nominee directors in our Nominee Director Services section.

A Board Resolution to approve of the setting up of a Singapore Private Limited Company. We recommend that key information including who will be the first directors, who are the other shareholders, the shares to be held by the Corporate Shareholder and the total Share Capital on incorporation of the new company be discussed and approved by the Directors of the Corporate Shareholder. Alternatively, you can also vest the power to decide on such matters in the authorized person acting on behalf of the Corporate Shareholder.
