Documents to Bring
For Singapore Residents (including Singapore Permanent Residents and Eligible EP / DP / LTVP Holders)
The process is fairly simple. All you need to do is to come to our office with your identity cards.
If all the relevant documentation and information required are in place, we will be able to incorporate your company within 30 – 45 minutes.
We encourage you to make an appointment with us prior to the company incorporation date to ensure that your waiting time is minimized.
For Singapore Residents partnering Foreign Residents
For Singapore Residents, all you need to do is to come to our office with your identity cards.
For Foreign Residents, there are 2 methods for us to verify your personal information and your participation in the company.
Applicable for foreign residents who are physically in Singapore
Please bring along your passport and proof of residence (utility bills or bank statements) to our office.
Applicable for foreign residents who are NOT physically in Singapore
We will provide you with a Letter of Intent to incorporate a Singapore company for your authorization.
Please arrange for the Letter of Intent and a copy of your passport to be notarized by a notary public in your location.
Kindly note that non-English documents will need to be translated to English when you are notarizing your documents.
Proof of residence document is required but need not be notarized. This can be a credit card statement or utility bill which has your printed residential address.
We will proceed with the incorporation upon receipt of the following :
- Original Notarized Letter of Intent
- Original Notarized Copy of Passport
- Proof of Residence Document
For Foreign Residents
Important Note to Remember: Please note that every Singapore Company requires at least ONE director who is ordinarily a resident in Singapore. A resident director is an individual who is a Singapore Citizen, Singapore Permanent Resident or an Eligible Employment Pass Holder who is residing in Singapore with a valid Singapore address.
If you intend to set up a Singapore Company and has no resident director, your options are :
- To find a Singapore contact (family member or friend) who is willing to assume the role as the resident director of the Company

For Companies with Corporate Shareholders
If you are intending to set up a company with one or more corporate shareholders, the following additional documentation is required for the purpose of incorporation.
A Board Resolution from the Singapore Company that authorizes a specific person (usually the director) to act on behalf of the Corporate Shareholder in the incorporation process, including signing off on incorporation papers.
A Board Resolution to approve of the setting up of a Singapore Private Limited Company. We recommend that key information including who will be the first directors, who are the other shareholders, the shares to be held by the Corporate Shareholder, and the total Share Capital on the incorporation of the new company be discussed and approved by the Directors of the Corporate Shareholder. Alternatively, you can also vest the power to decide on such matters in the authorized person acting on behalf of the Corporate Shareholder.
For Singapore Companies, a copy of a recent Company Profile document from ACRA. For Foreign Companies, Company Profile document from the country of domicile and Certificate of Incorporation.
Corporate Tax Incentives applicable only to Private Limited Companies
Tax Exemption Scheme for New Startup Companies
The tax exemption scheme for new startup companies is introduced to support entrepreneurship and help our local enterprises grow. Under this scheme, qualifying companies are allowed the following incentives:
- The first $100,000 chargeable income is fully exempted from tax
- 50% of the next $200,000 chargeable income is exempted from tax
- A company qualifies for this scheme if

- it is incorporated in Singapore;
- is a tax resident of Singapore;
- has less than 20 shareholders, of which at least 1 shareholder is holding on to at least 10% of the issued ordinary shares; and
- is not an investment holding company, including companies who are in the business of sale of property or holding property for investment purpose
Minimum Requirements of a Private Limited Company
In order to successfully set up a Private Limited Company, you will need to have
- Minimum of 1 Singapore Resident Director
- Minimum of 1 Shareholder (capped at 50)
- Minimum of S$1 Share Capital
- A Company Secretary
- A Singapore Registered Address
